Creatures of U.S. Congress come to grips with Puerto Rico management act

ANALYSIS—During any bankruptcy proceeding—such as what the Puerto Rico government and some of its corporations are going through—it is natural for stakeholders to employ all available legal strategies to protect their interests. While most challenges filed under the Title III insolvency proceedings by creditors and other officials against the Financial Oversight & Management Board (FOMB), with the latter representing the commonwealth, have been legitimate, most have not succeeded in obtaining favorable rulings because of limitations in the federal Promesa law that impede the court’s involvement. Federal Judge Laura Taylor Swain and the Oversight Board have been at the center of decisions that are often perceived as convenient for the Puerto Rico government but are contrary to existing federal and local laws that tend to protect creditor liens upon debt.

The Puerto Rico Energy Commission (PREC) recently challenged the scope of the Oversight Board’s (FOMB) powers, contending the board was interfering with the commission’s regulatory powers over the Puerto Rico Electric Power Authority (Prepa). PREC sought a determination stating the proposed Prepa fiscal plan could be certified absent PREC’s preapproval of elements that touch on matters characterized as “substantive energy actions.”

Under the federal P.R. Oversight, Management & Economic Stability Act (Promesa), the Oversight Board and governor are specifically tasked with devising the fiscal plan. As a result, during a recent hearing, PREC’s lawyer, Scott Hempling, abandoned PREC’s focus on the fiscal plan process and requested a declaration that the sphere of energy-related decisions remain under PREC’s exclusive control, and the FOMB’s area of authority is limited to “fiscal” matters.

Swain said PREC was seeking a legal opinion and declined to issue the injunction, contending the court could not intervene without a concrete dispute before it. However, she acknowledged in the decision that PREC has little chance of prevailing in the case.

The Oversight Board, according to Promesa, has broad powers that include approving a fiscal plan and government’s budget, cause legislative acts to not be enforced, and approve or disapprove critical projects.

The FOMB also has the power to obtain information, including written and electronic documents and data from federal agencies (with the consent of the agency head) and agencies and entities of the government of Puerto Rico; issue subpoenas; request administrative support services from the U.S. General Services Administration (GSA); enter into contracts; enforce laws of Puerto Rico prohibiting public-sector employees from participating in a labor strike or lockout; initiate civil actions to carry out its responsibilities; and investigate how Puerto Rico government bonds were sold to small investors.

Tied by Section 305

Then there is Section 305 of Promesa. This section of Promesa states the court would not be able to interfere in any way with any of the debtors’ political or governmental powers; property or revenues; or use and enjoyment of any income-producing property unless the Oversight Board either consented to such interference or allowed it within the plan proposed by the FOMB.

As a result, Swain, who is facing numerous complex decisions and multiple debtors, has issued opinions dismissing creditor complaints in a manner that critics say has disrupted the legal protections that municipal bonds have in bankruptcy scenarios.

A notable example was Swain’s ruling in the Puerto Rico Highways & Transportation Authority (HTA) Title III proceeding that holders of special revenue bonds are not entitled to pursue relief to compel the debtor bond issuer to use the net special revenues to pay debt. While Section 922 of the Bankruptcy Code provides an exception to allow a creditor to compel a debtor to apply net special revenues to debt, Swain said the section does not authorize such actions.

Judge Swain went further and sided with the government’s assertion that her court lacked the power to order payment of pledged special revenues to HTA bondholders. She said Section 305 of the Promesa federal law deprived her court of jurisdiction to grant the relief of bondholders and bond insurers.

Microgrid is a localized group of electricity sources and loads that normally operates connected to and synchronous with the traditional centralized electrical grid (macrogrid), but can also disconnect to “island mode” — and function autonomously as physical and/or economic conditions dictate.[1]

In this way, a microgrid can effectively integrate various sources of distributed generation (DG), especially Renewable Energy Sources (RES), and can supply emergency power, changing between island and connected modes.

As Hurricane Maria churned menacingly toward Puerto Rico on 19 September, Gary Soto was hunkering down on the outskirts of San Juan. Soto, the operations manager of Puerto Rico’s state-run utility, faced a daunting task: to keep the grid running and minimize damage from the storm.

In a windowless, wood-paneled control center at the Puerto Rico Electric Power Authority (PREPA), Soto and a dozen other engineers and supervisors worked at U-shaped desks littered with paper coffee cups, staring at computer monitors that displayed real-time conditions on the grid. One after another, transmission lines were failing, and the team hastily debated their course of action. In this fragile state, the network wouldn’t be able to absorb an oversupply of power, excess voltages, or swings in frequency. They could inject test currents into the downed lines, to see which ones could be restored, or else reduce the level of electricity being put on the grid, to protect the remaining transmission system. Hour after hour, the team’s chatter filled the room with rising urgency.

As Maria veered closer, Soto recalls, and its true magnitude became apparent, he thought anxiously about his wife and two young daughters, at home in the coastal town of Dorado.

By nightfall on the 19th, the PREPA crew knew their efforts were futile. Outside, winds topping 280 kilometers per hour had begun toppling transmission towers, snapping concrete power poles, entangling lines, and battering power plants. The PREPA engineers at their workstations watched in dismay as small outages spread and bloomed like a virus. Finally, at 2 a.m. on 20 September, Soto says, “We went into total blackout.”

All of Puerto Rico was now in the dark.

Businessmen Export Medicinal Cannabis Experience to DR

A group of Puerto Rican businessmen has decided
to export their experiences in the medicinal
cannabis industry to the neighboring
Dominican Republic and begin to educate about
the eff ectiveness of these products in the treatment
of many diseases and in improving the quality of
the life for patients on the island.
Today, Cannaeduca will off er the fi rst symposium
on the topic of medical cannabis in the Dominican
Republic entitled “Legal, Social and Economic
Aspects of Medicinal Cannabis: The Case of
Puerto Rico.”
The symposium will be attended by a group of
professors, lawyers, doctors, bankers and other experts
in the medicinal cannabis industry from the
mainland United States and Puerto Rico.
In addition, the participation of former Gov.
Alejandro García Padilla with an introductory message
is confi rmed.
Cannaeduca spokesperson Pedro Ortiz Cortés
said “the medicinal cannabis industry has been
successful in Puerto Rico because patients and
businessmen who have developed companies to
produce medicinal cannabis products have had
cutting-edge legislation, a product of the broad political
support for this industry, which has allowed
the robust and orderly development of this industry.”
“The result of this is refl ected in the fact that patients
have an alternative of safe and eff ective treatment
for chronic and even disabling conditions that
improves the quality of life of patients,” he added.
“In turn, these products are manufactured by companies
that contribute to the economic development
of Puerto Rico and the creation of well-paying
jobs.”
Ortiz Cortés went on to note that “[t]here are
many myths regarding the issue of medicinal cannabis.”
“However, statistics show that more than 70
percent of certifi ed patients are people over 50
years old,” he said. “These are people for whom
cannabis is an eff ective and real treatment option.
So far, as part of the development of the medicinal
cannabis industry on the island, they have established
about 10 cultivation and manufacturing operations
and about 40 dispensaries throughout the
island.”
He also highlighted the work of the commonwealth
Health Department, “which has done an excellent
job in monitoring the quality of the product,
the eff ectiveness of the service and compliance with
all applicable regulations and laws.”
At the Dominican Republic symposium, Cannaeduca
aims to present the success of the project
in Puerto Rico as an example to follow, and emphasize
the importance of establishing a strong legal
framework that limits drug traffi cking, but does not
deprive people who could benefi t from cannabis as
a treatment option to improve their quality of life.
Ortiz Cortés, as spokesperson for the company,
announced that they hope to take the educational
project to other jurisdictions in Latin America and
Europe so that other countries can emulate the vanguard
medicinal cannabis model adopted on the
island.
